Terms of service

Plain language, and short. These cover the website and platform; the terms that actually govern a project are in its statement of work, which you see and sign before any work or money moves.

A starting point describing what the product does, pending review in our operating jurisdiction. If you need the reviewed version before contracting, ask and we will send it rather than pointing you back here.

These terms, and the ones that matter more

These terms cover use of this website and of the platform where no separate agreement is in place. They are an agreement between you and ChiefDeveloper.ai, a sole proprietorship registered in India, referred to below as we or us. The proprietor, the registration number and the registered address are named in each statement of work, and are available on request before that.

Delivery work is governed by its own statement of work, generated and signed per engagement. It sets out scope, exclusions, acceptance criteria, timeline, responsibilities, change control, support and termination. Where it and these terms disagree, the statement of work wins.

Ownership of delivered work

You own what we produce for you. It is your idea and your problem, so the output is yours: the source code, the infrastructure definitions, the documentation, and any model weights or adapters trained on your data.

Ownership transfers on delivery. It is not a licence, and it is not contingent on continuing to pay us a subscription. The transfer is written into the statement of work before work begins.

We keep ownership of the platform itself, the agents and the pricing engine, none of which is produced for you. Where delivered work incorporates open-source components, those keep their own licences and are listed at handover.

Your responsibilities

  • Provide access to the systems and data the work requires, and the right to use them.
  • Nominate someone able to approve scope and acceptance.
  • Do not submit data you are not permitted to share with us.
  • Do not use the platform to build anything unlawful, or attempt to disrupt it or reach another customer's data.

Pricing and payment

Prices are derived from project scope against the formula published on our pricing page. Figures shown on this website, including anything produced by the calculator, are indicative. The price that binds either party is the one on a signed statement of work.

Payment is due before delivery begins. Enterprise purchase order terms and bank transfer are available and are set out in the statement of work.

Delivery does not begin until the contract is signed and payment is confirmed. That is enforced in the platform, not merely stated here.

What the agents do and do not decide

Scope and price are computed from your stated requirements by a published formula. Model output is validated against a schema before it is used and is stored with the input that produced it, so any generated decision can be traced.

Software built for you is delivered against the acceptance criteria in your statement of work, agreed before work starts. We do not warrant that generated output is free of defects, and neither would a team of people. What we commit to is the acceptance criteria you signed.

Availability

We target 99.9% availability for the managed control plane. Any binding service level, including response targets and credits, is the one in your statement of work or support agreement. This website carries no service level.

Liability

Nothing here excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.

Subject to that, liability under an engagement is limited as set out in its statement of work. Neither party is liable for indirect or consequential loss, or for lost profits or revenue.

The specific limits, indemnities and insurance position are commercial terms agreed per engagement rather than fixed here. Ask at intake and we will send the position before you invest time in a review.

Termination

Either party may terminate under the terms of the statement of work. Because you own the delivered work and it runs on your own infrastructure, termination does not stop anything already delivered from working. That is deliberate.

Governing law

These terms are governed by the laws of India, and the courts at Mumbai, Maharashtra have exclusive jurisdiction over any dispute arising from them.
